General Terms and Conditions
Terms and conditions for consulting and services
§ 1 Scope
These General Terms and Conditions ("GTC") apply to all contracts for consulting and services in OT security between SecureKern GmbH and the client.
§ 2 Subject Matter
Services include consulting, analysis and implementation related to OT security such as NIS2 readiness, IEC 62443 gap assessments, network segmentation, risk assessments, training and MDR services.
§ 3 Performance
Services are performed in accordance with the state of the art and applicable standards. Delivery times are non-binding unless explicitly agreed otherwise.
§ 4 Fees and Payment
Fees are set out in the individual contract. Unless agreed otherwise, invoices are payable within 14 days without deduction.
§ 5 Client Obligations
The client shall provide information and access necessary for the performance of the services and designate a competent contact person.
§ 6 Confidentiality
Both parties shall keep confidential all information received in the course of cooperation and not disclose it to third parties. This obligation continues for at least three years after termination.
§ 7 Liability
Liability is limited except for damages resulting from injury to life, body or health and for intentional or grossly negligent breaches.
§ 8 Warranty
Claims must be reported in writing within 14 days. The warranty period is 12 months for our services.
§ 9 Term and Termination
Contract duration and termination depend on the respective service agreement; minimum terms may apply for recurring services.
§ 10 Intellectual Property
Deliverables remain property of the contractor until full payment. The client receives a non-transferable right to use the deliverables after payment.
§ 11 Final Provisions
German law applies. Place of jurisdiction is Stuttgart.
